Commerce Bancshares Receives Regulatory Approval to Acquire FineMark Holdings

Commerce Bancshares, the holding company for Commerce Bank, announced it has received all regulatory approvals to complete its proposed merger with FineMark Holdings Inc., the holding company for FineMark National Bank & Trust. The transaction has been approved by the Federal Reserve Bank of Kansas City and the Missouri Division of Finance and remains subject to approval of FineMark shareholders and other customary closing conditions. The transaction is anticipated to close on Jan. 1, 2026, as previously announced.

As of June 30, 2025, FineMark had assets of $3.9 billion, deposits of $3.1 billion and loans of $2.7 billion. FineMark’s Trust and Investment business delivers a comprehensive suite of highly personalized services to approximately 2,000 clients with approximately $8.3 billion in assets under administration.
