Haynes Boone advised Williams in the sale of its minority interest in South Mansfield upstream assets to JERA for $398 million, plus deferred monthly payments through 2029 based on a predefined development plan.
The transaction supports Williams’ wellhead-to-water strategy and enhances its role in delivering natural gas volumes from South Mansfield through its Louisiana Energy Gateway system to downstream LNG markets. Williams will continue to gather natural gas from South Mansfield and expand its gathering system to accommodate additional production growth.
The Haynes Boone team was led by Partner Austin Elam and Associates Reem Abdelrazik and Will Johnson, with support from Counsel Danielle Marr and Associates Bradley Potts and Sam Richards.
The sale is subject to customary closing conditions, including approval from the Committee for Foreign Investment in the United States, and is expected to close by the end of 2025.
