B. Riley Securities ("BRS") acted as sole placement agent for Bit Digital, Inc. in connection with a registered direct offering, which consisted of 22 million ordinary shares at a purchase price of $3.06 per share, resulting in gross proceeds of $67.3 million.
 
Bit Digital is a publicly traded digital asset platform focused on Ethereum-native treasury and staking strategies, and currently operates one of the largest institutional ETH staking infrastructures globally.
 
Bit Digital intends to use the net proceeds from the registered direct offering to acquire additional ETH, expanding its long-term accumulation and staking of ETH as a core treasury asset.
